Mergers: Commission clears the acquisition of Trinseo’s synthetic rubber business by Synthos.

The European Commission has approved, under the EU Merger Regulation, the acquisition of sole control of the synthetic rubber business of Trinseo S.A. of Luxembourg by Synthos S.A. of Poland.

The acquired business is active in the production and sale of synthetic rubber, specifically styrene butadiene rubber. Synthos is active in the production and distribution of a wide range of chemical products, including synthetic rubber. The proposed transaction results in a limited number of horizontal overlaps between the companies’ activities in the markets for emulsion-styrene butadiene rubber (‘ESBR’) and solution-styrene butadiene rubber (‘SSBR’). Both ESBR and SSBR are primarily used to produce car tyres. The Commission concluded that the proposed transaction would raise no competition concerns, because (i) the combined market shares of the parties are moderate; and (ii) following the transaction, several other well-established ESBR and SSBR producers located in the European Economic Area (EEA) and nearby countries, will still be active on the relevant markets. The transaction was examined under the normal merger review procedure.
